On Boarding

This Contract Paper ("Agreement") is made and entered into on the date of acceptance of this agreement between Exalt.net.au (hereinafter referred to as "Exalt") and the Client (hereinafter referred to as "Client").

1. DESCRIPTION OF SERVICES Exalt agrees to provide the Client with Managed Hosting Services as described below:

• 2 Core vCPU
• 8 GB RAM
• 100 GB NVMe
• 1 Dedicated IP
• Location: Sydney

2. TERM This Agreement shall commence on the date of acceptance and shall remain in full force and effect for a minimum term of one year, starting from the date of commencement ("Initial Term"). This Agreement will automatically renew for successive one-year periods (each a "Renewal Term") unless either party provides written notice of non-renewal at least 30 days prior to the end of the Initial Term or any Renewal Term.
3. PAYMENT TERMS Client agrees to pay the monthly fee for the Managed Hosting Services, which shall be due on or before the due date mentioned in the invoice. In the event of late payment, the system will automatically shut down the server until the payment is made in full. If the Client wishes to terminate this Agreement before the end of the Initial Term or any Renewal Term, the Client shall pay the remaining six months server cost as a termination fee.
4. WARRANTIES AND REPRESENTATIONS Exalt represents and warrants that the Managed Hosting Services shall be performed in a professional manner and in accordance with industry standards. Exalt makes no warranties, express or implied, except as set forth herein. Exalt shall not be liable for any loss of data, loss of profits or consequential, incidental, or punitive damages arising out of the use or inability to use the Managed Hosting Services.
5. CONFIDENTIALITY Both parties agree to keep confidential all information obtained from the other party pursuant to this Agreement and not to disclose such information to any third party without the prior written consent of the disclosing party.
6. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia.
7. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.
